Purpose and scope
The platform connects sellers and buyers to publish offers and complete sales.
Important: The platform is not a party to the sales contract between sellers and buyers.
The annexes published in the Grinsel legal center supplement these Terms when they match an active feature, including fees, disputes, seller rules, reviews, and promotions.
Definitions
- Seller: User who publishes an offer and sells a product.
- Buyer: User who purchases a product.
- Platform: Grinsel service operated by PANTERIA (SIREN 935 197 251, SIRET 935 197 251 00017).
Role of the platform
The platform acts as a technical intermediary.
- Hosting: It hosts listings and user-generated content.
- Payments: It facilitates payments via regulated payment services providers (including Stripe Connect). The platform is not a payment services provider.
- Role limits: It is not the seller, a commission agent, a carrier, or a food business operator.
- Pricing: Prices are set by sellers.
- No prior control: No prior or systematic review of listings. The platform may nevertheless refuse, hide, suspend or remove a listing, account or feature after a report, where there are serious indications of illegality, food-safety risk, fraud, infringement of third-party rights or breach of these Terms.
- Liability: The platform's liability, as a technical intermediary, is limited to failures directly attributable to it, to the extent permitted by law. This limitation does not apply in cases of gross negligence, wilful misconduct, bodily injury, mandatory public-order obligations or liability that cannot legally be limited. For indirect or business losses between professionals, it shall not exceed the commission received on the transaction giving rise to the alleged harm.
Account and security
- You are responsible for your account.
- Credentials: Do not share your credentials.
- Suspicious activity: Report any suspicious activity.
- Rules: Follow community rules and the law. In particular, impersonation, fraud, payment circumvention, abusive data collection, illegal speech, harassment, misleading content and listing prohibited products are forbidden.
- Minimum age: You must be at least 18 years old to create an account, publish listings, and carry out transactions on the platform.
Listings and seller obligations
The seller is solely responsible for their listings and products.
- Compliance: Products must be lawful, compliant, available, fairly described and fit for consumption where they are food products. Prohibited, dangerous, recalled, expired, unfit-for-consumption products, or products whose sale requires an authorization the seller does not hold, may not be listed.
- Description: Information (price, relevant ingredients, allergens, expiry/use-by dates, quantity, storage conditions, pickup place and time window) must be accurate, complete and kept up to date. Disclosure of the 14 major allergens is mandatory under EU Regulation No. 1169/2011; explicitly enter 'None' if no allergens are present.
- Price: Prices must be clear and final.
- Seller status: Sellers must state whether they act as professionals or non-professionals and must provide accurate information. Where a seller acts as a non-professional, certain consumer rights may not apply.
- Legal information: Professional sellers provide required legal information before listing, including company name, address, and phone number, which are displayed publicly on the platform. Additional information may be requested for compliance (e.g., professional seller traceability) and applicable tax obligations (e.g., DAC7). If information is missing or inaccurate, the platform may suspend listings or seller features.
- Food safety: The seller is solely responsible for complying with regulations applicable to their food activity (in particular EC Regulation 852/2004 on food hygiene and EU Regulation 1169/2011 on food information to consumers). The platform is not a food business operator and does not carry out prior verification of the sanitary compliance of products. Sellers must attest on their honour that they comply with applicable obligations, respect cold-chain and hygiene rules where applicable, immediately remove any non-compliant or risky listing, and provide documentary evidence upon request (e.g. company registration documents, food-safety certificates, traceability evidence). Failure to comply, failure to provide evidence or risk to users may result in suspension of seller access, listings, payouts or features.
- DAC7 and tax obligations: In accordance with DAC7 obligations (EU Directive 2021/514) and applicable French tax regulations, the platform may report seller revenues to the competent tax authorities where activity exceeds applicable thresholds (in particular 30 transactions or €2,000 in gross revenues per calendar year). Affected sellers will be informed by the platform.
Personal data
- Privacy: Respect other users’ privacy.
- Protection: Data is processed in accordance with GDPR and our privacy policy. Do not include unnecessary sensitive information (e.g., health data) in messages or reviews; access to such content is limited to relevant users and support/moderation where necessary.

Payments and commission
Payments are processed through the platform's configured regulated provider(s) (including Stripe Connect). The seller may start preparation only after payment is confirmed (CAPTURED). The platform facilitates payment collection and payout to the seller. Seller payout occurs after buyer receipt confirmation and only if no in-app dispute, payment dispute/chargeback or compliance anomaly is open. Operational actions (hold, retry, review, admin intervention, refund or technical cancellation) may be applied for safety and compliance. Applicable service fees, commissions and payment fees are displayed before validation where required.
In the event of a dispute/claim (including a payment provider chargeback) decided in favor of the buyer, the platform will charge the seller the refunded amount along with the exact dispute fees applied by the payment provider, and will deduct them from future payouts or any amounts payable to the seller, to the extent permitted by law.
Important: By using the platform as a seller, you expressly authorize the platform to apply such offsets/withholdings on future payouts to recover amounts owed in connection with disputes, refunds, penalties, or related fees.
In-person handoff
- Arrangement: Handoffs are arranged between buyer and seller. The seller must provide a realistic place and time window, keep the product under appropriate conditions until handoff, and inform the buyer of any significant change. The buyer must attend the agreed time window or promptly notify the seller if prevented. Depending on visibility settings, address and phone number may be displayed to users. For professional sellers, company name, address, and phone number are always displayed publicly.
- No transport: The platform does not provide transport, storage or physical product inspection. Delays, no-shows, failed handoffs or disagreements about product condition may be handled through the dispute mechanism.
Right of withdrawal and legal guarantees
Under Article L221-18 of the French Consumer Code, buyers generally have a 14-day right of withdrawal for distance sales. However, under Article L221-28(9°) of the same code, this right does not apply to goods that are likely to deteriorate or expire rapidly — including food products, prepared meals, and fresh produce. Once payment has been captured, the buyer can no longer directly cancel an order from the app; any paid order for a food product is final, subject to seller cancellation or the dispute resolution, refund, chargeback, and legal guarantee provisions of these Terms.
Buyers also benefit from the legal guarantee of conformity (Consumer Code Art. L217-3 et seq.) and the guarantee against hidden defects (Civil Code Art. 1641 et seq.) vis-à-vis the seller. The platform is not the seller and is not subject to these guarantees as such.
Platform Role and Payment Service Provider (Stripe Connect)
Grinsel acts solely as a technical intermediary connecting Buyers and Sellers. The sales contract is concluded directly between the Buyer and the Seller.
Payments are securely processed by our partner Stripe. By registering as a Seller, you agree to the Stripe Connected Account Agreement and commit to providing any required identity verification documents. Funds are held in escrow by Stripe until the order is finalized before being transferred to your bank account.
Recovery of chargebacks (chargebacks)
In the event of a chargeback (payment dispute initiated by the buyer's bank) on a transaction for which the payout has already been released to the seller, Grinsel is authorized to recover the corresponding funds from the seller's account. By accepting these Terms and completing Stripe Connect onboarding, the seller expressly consents to this recovery mechanism.
Recovery is carried out by debiting the seller's outstanding balance, by applying a penalty to future payouts, or, if the amount remains unpaid, by suspending the seller's account until the debt is settled. The seller is informed of any chargeback and may contest it through the dispute resolution procedure set out in these Terms.
Personal data retention (GDPR)
Financial records (transactions, ledger entries, invoices, and receipts) are kept for 10 years in accordance with Article L123-22 of the French Commercial Code. This retention is necessary to fulfil legal and tax obligations and to ensure the accounting integrity of the platform.
Non-financial personal data is deleted or anonymised at the end of the commercial relationship plus 3 years. Ledger entries are anonymised by replacing the user identifier with a stable hash to preserve accounting integrity without identifying the individual.
Disputes and refunds
If a dispute arises, a case must be opened through an explicit user action in the app (no dispute is opened automatically). A dispute must be opened within a reasonable time after the issue is identified and before final confirmation where the app allows it.
The platform prioritizes an amicable resolution between buyer and seller through messaging and elements provided by the parties (issue description, exchanges, order or payment identifiers, handoff or non-handoff information). Reasons may include non-handoff, wrong item, manifest quality issue, no-show at pickup or payment issue.
If needed, support/admin may manually trigger operational actions (reminders, hold, closure, payout retry), suspend seller payout, request evidence, temporarily limit certain features, and decide a full refund where available evidence and service rules justify it. Partial refunds are not supported by the current automated flow. This assistance does not make the platform a party to the sales contract.
Important: The seller remains responsible for the product and its compliance; the buyer is responsible for honestly confirming receipt in the app.
Moderation and notice (DSA)
A notice-and-action mechanism is available for illegal content, accounts or products. Where possible, a notice should identify the relevant content and explain why it is allegedly illegal or contrary to the Terms. Any removal, restriction, suspension or delisting decision is reasoned and notified where required. An internal complaint process allows users to contest a moderation decision. Manifestly abusive, repeated or fraudulent reports may lead to account restrictions.
Governing law
These terms are governed by French law. Any dispute falls under the competent courts, subject to mandatory consumer-protection rules. Material updates to these terms are communicated through the app/legal pages with an effective date indicated in the version note; renewed acceptance may be required before continuing to use the service.
In accordance with Articles L612-1 et seq. of the French Consumer Code, any consumer may refer a dispute to a consumer mediator free of charge for an amicable resolution if it cannot be resolved directly with the platform. The competent mediator is CM2C (Centre de la Médiation de la Consommation de Conciliateurs de Justice) — website: www.cm2c.net.
